Purchase Order Terms & Conditions


  1. This purchase order shall be effective from the date of its receipt.
  2. The supplier shall acknowledge this purchase order by signing and returning a copy of the same.
  3. In the absence of such acknowledgment, the fulfillment and/or performance of this purchase order by the supplier shall constitute acceptance of this purchase order.
  4. Deria Biru Sdn. Bhd. reserves the right to revise this purchase order at any time before its acceptance, fufillment and/or performance to correct any errors or omissions herein and/or to make any changes or alteration to the contents of this purchase order which includes but is not limited to the description, specifications, quantity of the product(s) ordered.
  5. Unless expressly agreed and/or stated otherwise, the payment for this purchase order shall be made within 30 days from the receipt of the supplier’s invoice.
  6. Delivery of the product(s) specified in this purchase order shall be made to the delivery address stated herein within an agreed time frame of 14 days and/or within a period which is deemed to be reasonable by Deria Biru Sdn. Bhd.
  7. Subject to the above, Deria Biru Sdn. Bhd. reserves its right to cancel this purchase order in the event that the supplier is unable to deliver the product(s) requested within the time frame specified and/or required.
  8. The supplier hereby warrants that the product(s) supplied shall be of merchantable quality, fit for the purpose intended and free of defects in materials, workmanship and design for a period of 1 year from the date of its delivery.
  9. In furtherance to the above, Deria Biru Sdn. Bhd. reserves its right to return any product(s) delivered which are found to be defective and/or not in accordance to its requirements as stated in this purchase order.
  10. In the event of a return of any product(s) by Deria Biru Sdn. Bhd., the supplier shall either replace, repair and/or make good the product(s) returned for its intended purpose.
  11. Deria Biru Sdn. Bhd. reserves the right to institute any proceedings necessary to recover of any damages and/or losses that may be incurred due to the supplier’s error in fulfilling and/or performing this purchase order.
